Leading Japanese MNC in the Auto Ancillary industry, known for its strong corporate governance practices, operational excellence, and professional work culture, looking for a Company Secretary Executive to support the organization in ensuring statutory and corporate compliances. The role involves handling company law compliances, drafting board and committee documents, preparing compliance-related materials, and supporting ethics & compliance initiatives. The ideal candidate should have strong drafting skills, understanding of corporate governance, and the ability to work in a structured multinational environment.

Key Responsibilities
  • Handle regular company law and secretarial compliances.
  • Draft board meeting notices, agendas, minutes, and resolutions.
  • Maintain statutory registers, records, and compliance documentation.
  • Draft and review agreements, NDAs, and other legal/commercial documents.
  • Coordinate filings and ensure compliance under applicable corporate laws and regulations.
  • Support ethics, governance, and internal compliance initiatives.
  • Prepare awareness and communication materials related to compliance and governance.
  • Liaise with internal stakeholders, consultants, and regulatory authorities as required.
  • Ensure timely closure of compliance-related actions and documentation.
Skills & Qualifications
  • Qualified Company Secretary (CS)
  • LLB is mandatory
Technical Skills
  • Strong knowledge of Companies Act and corporate secretarial practices
  • Experience in drafting legal and compliance documents
  • Good understanding of corporate governance and regulatory compliance
  • Proficiency in MS Office (Word, Excel, PowerPoint)
Communication & Interpersonal Skills
  • Strong written and verbal communication skills
  • Excellent drafting and documentation capability
  • Professional and collaborative approach
Other Requirements
  • Ability to handle corporate law and compliance-related matters independently
  • Adaptability to Japanese work culture and structured processes
  • Strong attention to detail and organizational skills
Preferred Experience
  • 2-5 years of relevant experience in Company Secretarial and Compliance functions, preferably with manufacturing or multinational organizations.
